John Egan represents lenders and borrowers in financial transactions and creditors in bankruptcies, complex foreclosures and receiverships. He also counsels the Firm's clients on a variety of municipal bond issues, serving as bond counsel or underwriter's counsel. He also serves as corporate counsel to a number of clients and advises companies on investment incentives available for new and expanded industry.
Mr. Egan is a frequent speaker and author of articles on financial transactions, bankruptcy and public finance topics. He is past Chairman of the Louisville Bar Association's Business Law Section and of the LBA's Bankruptcy Section.
Recent (last 18 months) representations:
- Acted as bond counsel for a $330,000,000 tax exempt bond issue in which insured auction-rate bonds were redeemed and replaced by new fixed-rate tax-exempt debt.
- Acted as bond counsel for a $146,000,000 tax exempt bond issue in which insured auction-rate bonds were redeemed and replaced by a mixture of new fixed-rate debt and variable rate letter-of-credit back debt
- Represented one party in resolution of a dispute among a bond issuer, the letter of credit provider and the program administrator.
- Represented the acquirer of assets of a financially-distressed manufacturer located in the southeastern United States; negotiated on behalf of the buyer with the seller's lender, equipment lessors and major customers and suppliers.
Mr. Egan is the leader of Frost Brown Todd's Lending and Commercial Services group.
