New Markets Tax Credit

Seeking to expand on a long history of community service and capitalizing on the backgrounds and abilities of our corporate, real estate, commercial lending and tax lawyers, Frost Brown Todd has developed a practice that is qualified to represent any party involved in an NMTC transaction.  Whether you are a CDE or financial or other institution seeking to become a CDE, an investor seeking NMTCs or a qualified business (for-profit and nonprofit developers and business owners and operators) seeking favorable financing through the use of NMTCs, our lawyers are ready to assist you.  Our team is extremely knowledgeable about all aspects of the NMTC program and is ready to advise you and advocate on your behalf regarding the regulatory, tax, corporate, securities and other business issues related to a transaction involving NMTCs.

NMTC can help finance commercial and mixed-use real estate developments, historic rehabilitations, non-profit entities and loans to small businesses in low-income communities.  Low-income communities are generally defined as census tracts with at least a 20% poverty rate.

Our lawyers have an intimate knowledge of how the entire NMTC program works and understand the business and legal issues required to negotiate and complete NMTC transactions successfully.  We help our clients in NMTC transactions evaluate risk, monitor program compliance, determine project eligibility for the NMTC program, structure the NMTC transaction and protect their investments.  Our team can provide the following services, among others, in connection with the NMTC program:

  • Organization and certification of CDEs
  • Assistance with applications for NMTC allocations
  • Execution of NMTC Allocation Agreements
  • Negotiating terms with tax credit investors, lenders or qualified businesses that receive favorable financing through an NMTC transaction
  • Coordinating and closing NMTC transactions
  • Reviewing and assisting with ongoing compliance with the NMTC program

We have participated in NMTC transactions across the country representing many different parties.
