Bryan is a member of Frost Brown Todd LLC. He assists foreign and domestic clients in negotiating, structuring, financing and documenting mergers, acquisitions, dispositions and other business transactions. He also regularly advises clients in connection with formation, venture capital and securities matters, as well as other general corporate transactions.

Prior to joining the Firm, Bryan's work experience included employment with Coopers and Lybrand, LLP as a Certified Public Accountant.

Experience

Bryan advises clients on all aspects of corporate and financing transactions, including:

Purchase of several subsidiaries of a large coal company for approximately $25 million

Purchase of several subsidiaries of a large mining company for approximately $100 million

A series of acquisitions by a Kentucky coal company ranging from $15 million to $51 million

Borrowing of $1.3 billion by a U.S. company under two credit facilities

The sale of a U.S. company's Australian affiliate

Formation of bankruptcy remote telecommunications subsidiary to issue approximately $21 million of secured notes

Sale of medical facility assets for approximately $14 million and negotiation of related joint venture

Sale of manufacturing company assets for approximately $60 million and negotiation of related joint venture

Sale of investment advisory business assets for approximately $6 million

$800 million tender offer

$200 million senior bond offering

$150 million subordinated bond offering

$146 million issuance of industrial revenue bonds

Sale of 90% of the equity interests of a $350 million manufacturing company to private equity funds pursuant to a merger transaction

$35 million public company tender offer
