Jeff is a member of the Firm's corporate department and the mergers and acquisitions practice group. He has extensive experience representing buyers and sellers of private and public companies. He also has significant experience representing lenders and borrowers in funding transactions. Jeff is involved in the structuring, negotiating, documenting and closing phases of these deals. Jeff also practices in the area of real estate and advises clients in connection with buying, selling, financing and managing shopping centers.

Experience

$1.2 billion financing in connection with emergence from Chapter 11 bankruptcy;

$875 million credit facility for a Kentucky-based coal mining company;

$600 million acquisition of Kentucky and West Virginia coal mining operations;

$47 million acquisition of coal company;

$350 million merger of an international manufacturing company;

A series of acquisitions of various coal mining companies ranging from $15 million to $100 million;

$15 million acquisition of coal reserves;

$100 million disposition of an international company based in the U.S. and operating in 15 foreign jurisdictions;

$350 million debtor-in-possession credit facility;

$200 million senior secured bond offering;

$650 million tender offer for a major coal mining company;

$115 million credit facility for an international manufacturing company;

$96 million acquisition of seven coal terminals and coal reserves and operations in three states;

$30 million acquisition of U.S., U.K. and Canadian divisions of a valve manufacturing company;

Acquisition of a downtown Lexington office building; and

Various workout-related negotiations for shopping centers located in central Kentucky.
