Jeffrey L. Hallos
Jeff is a member of Frost Brown Todd LLC and joined the Lexington office in January 1996. Before joining the Firm, he practiced in the Los Angeles and District of Columbia offices of Latham & Watkins, and opened and worked in its Hong Kong office.
Jeff is the Chair of the Firm’s Business Department and has served as the Chair of the Business Combinations and Capital Transactions practice group. He has substantial experience representing domestic and foreign buyers and sellers in connection with the purchase and sale of private and public companies, and representing companies that are establishing a presence in the Midwestern and Southern United States. He also has significant experience representing lenders and borrowers in funding transactions involving the United States and foreign jurisdictions. Jeff works extensively on all stages of corporate and financial transactions, including structuring, negotiating, documenting and consummating such transactions.
Experience
Jeff represents clients in connection with mergers, acquisitions, and dispositions. Recent transactions include:
$860 million sale of coal company assets;
$800 million tender offer;
$600 million purchase of coal company;
$350 million sale of stock of a manufacturing company;
$320 million sale of equity interest;
$275 million sale of limited liability company interests;
$100 million sale of human resources management business (involved the U.S. and twelve foreign jurisdictions);
$100 million purchase of several subsidiaries of a large mining company;
$51 million acquisition by a coal company;
$35 million sale of majority interest in manufacturing company;
$30 million acquisition of the divisions of a manufacturing company with operations located in the United States, the United Kingdom and Canada;
$25 million sale of coal company assets;
$20 million sale of a majority interest in a technology and manufacturing company.
Advises clients in connection with financing transactions. Projects include:
$2 billion project financing of a power plant in Asia and syndication of loan to approximately 50 banks;
$1.3 billion financing under two credit facilities;
$750 million credit facility;
$200 million senior credit facility;
$200 million senior bond offering;
$150 million subordinated bond offering;
$115 million term and revolving credit financing for a company with operations in the U.S. and ten foreign countries;
$115 million issuance of industrial revenue bonds;
$50 million credit facility for company with operations in the U.S. and four foreign countries;
$50 million senior credit facility;
$31 million issuance of industrial revenue bonds.
