Scott Hankins is a member at Frost Brown Todd LLC.  He has extensive experience in commercial transactions and workouts, including international matters, and specializes in aviation.   He formerly served as Vice-President & Counsel to GE Capital Aviation Services, Financing Counsel at GE Aviation, and Assistant General Counsel at Boeing Capital Corporation, f.k.a. McDonnell Douglas Finance Corporation.


Scott's aviation experience, developed over a 30-year career, includes aircraft and engine leasing (including cross-border and leveraged leases), mortgage financing, government (ECA) and manufacturer-supported finance transactions, synthetic leases, parts supplier agreements, aircraft maintenance agreements, engine maintenance agreements and programs, spare parts transactions and facilities, receivables and ticket revenue facilities, aircraft and engine sales, consignment arrangements, freighter conversion programs, airline and supplier bankruptcies and workouts, and regulatory matters.  Scott has been a frequent conference speaker on aircraft finance transactions and related topics.

Representative Matters

Contracts for freighter conversions of Boeing 737-800 and Boeing 767-300 aircraft.

General Terms Agreements for sourcing of aircraft-related products and services with suppliers worldwide, including airframe and engine overhaul and maintenance services and aircraft equipment (e.g., avionics, in-flight entertainment systems, aircraft seats).

Purchase of Airbus and Boeing aircraft from Philippine Airlines by three GE entities, including arrangements for teardown of airframes.

Purchase of beneficial interests in trusts holding three x B747-400 aircraft and leases thereof with Northwest Airlines, Inc., including termination of existing leveraged financing structure and bankruptcy-related workout arrangements.

Purchase of seven x new Airbus A319-100 aircraft and placement thereof with Spirit Airlines, Inc. under long-term leases.

Bankruptcies of Cimber Sterling A/S (Denmark), US Airways, VARIG, United, ATA, Air Canada, Atlas, Sabena, Ansett, National Airlines, and Tower Air.  Addressed issues arising from, inter alia, engine maintenance agreements, aircraft leases and secured loans, including Section 1110 issues.

Workout arrangements with Brazilian air carriers, including creation of loan facilities secured by Brazilian Reais-denominated ticket revenues.

Customer support financing of 60+ Bombardier regional jet aircraft, structured as C-tranche of EETC facility.

$350M receivables financing for GE-affiliate CFM International, Inc.

Sale-leaseback of spare engine fleet of Brazilian air carrier, financed through GE commercial paper conduit.

Industry-standard short-term engine lease form—lead GE participant in engine leasing sub-group of industry trade organization, which developed and negotiated form with airlines representing IATA.  Form was published as an official IATA document.

Japanese leveraged leases of MD-11, MD-80 and regional aircraft—multiple transactions.

Leveraged lease financing of three MD-11 aircraft under lease to an Indonesian air carrier, representing the equity participant.

Manufacturer guaranty of Eximbank-supported financing of MD-83 and MD-11 aircraft sold to a European air carrier.

Portfolio sales of regional aircraft and helicopters (including helicopters subject to a German cross-border lease).
