David is a member of the Firm and his practice is focused on three primary areas: Commercial Transactions, Aviation Finance, and Corporate/Business.  David has extensive experience representing both lenders and borrowers on financing transactions, including revolving credit and term loan facilities, secured and unsecured working capital lines, multi-bank syndicated loans, bond financings enhanced by letters of credit, loan assumptions, and real property loans.  He also regularly advises manufacturing companies, distributors and service providers on a wide range of commercial matters, including product sales and distribution, consignment arrangements, warranties and warranty claims, maintenance agreements and consulting agreements.  In the corporate area, David has negotiated and documented numerous acquisition and divestiture transactions in the telecommunications, manufacturing and service industries.

David also regularly practices in the area of aviation finance, including mortgage financing and operating leases of aircraft, aircraft engines, and aviation parts.  He represents aircraft owners and operators in domestic and cross-border purchases, sales, financing and leasing of aircraft and related assets.

David has been selected by his peers as one of The Best Lawyers in America 2008-2011 editions.

Lender’s counsel for complex direct purchase bond financing transaction with a senior living facility.

Borrower’s counsel for $100 million asset-backed credit facility to steel manufacturer.

Assisted national bank with structuring and documenting letter of credit backed financing for senior living facility, including issues with Master Trust Indenture and related documents.

Borrower’s counsel for $200 million revolving credit facility for transportation company.

Lender’s counsel on term loan facility to regional airline, secured by aircraft engines and related aviation assets.
