Guylando A. Moreno
As an associate in the Regulated Business Practice Group, Guy's transactional practice spans a number of highly regulated industries, including, international trade, food & beverage, healthcare, franchising & distribution, and public utilities. Equipped with regulatory expertise, Guy assists closely-held, public, and multinational corporations to navigate the complex U.S. regulatory terrain as it impacts entity formation, mergers and acquisitions, contract formation, and variety of other issues related to business transactions.
Guy's practice includes significant experience in the area of international trade regulation and cross-border transactions. Guy has counseled clients on a number of import and export matters, labeling requirements, classification and valuation of products, U.S. embargoes & sanctions, and trade remedy proceedings (Customs disputes, antidumping and countervailing investigations).
Beyond regulated industries, Guy has significant expertise in commercial real estate. He has done work on behalf of a number of local and national retailers, commercial developers, and regional property holding companies in complex real estate acquisitions and dispositions, leasing transactions, ground leases, real estate financings, and reciprocal easement agreements.
His emerging public finance practice has granted him the opportunity to serve as bond counsel, underwriter's counsel, and developer's counsel for various tax-exempt project financings, including infrastructure, economic development and facilities finances, and hospital issues.
Prior to joining the firm, Guy was a federal law clerk to the Honorable Denise Page Hood of the United States District Court for the Eastern District of Michigan.
Representative Matters
International Trade - Worked to obtain export licenses from Bureau of Industry and Security for the export of U.S. products and technology. Assisted with the implementation of an International Trade Compliance Plans for U.S. manufacturers. Participated in the development of the firm's template Foreign Corrupt Practices Act and training materials in other international anti-bribery statutes. Strengthened international partnership with strategic member firms in Denmark by participating in associate attorney exchange program and book-writing initiative. Support clients with appropriate classification of merchandise under the Export Administration Regulations and application to foreign national employees. Participated in trade remedy disputes on behalf of clients before the International Trade Commission and International Trade Administration in antidumping and countervailing duty proceedings.
Commercial Real Estate - Served as second chair in complex $50 million equity investment for the sale of multi-tenant residential property. Reviewed, drafted, and revised sublease agreements, reciprocal easement agreements, and ground leases for national retailers, public telecoms, and regional property holding companies.
Public Finance - Assisted as bond counsel for the review, preparation, and issuance of tax-exempt qualified 501(c)(3) bonds for a $66,000,000 hospital infrastructure project. Served as borrower's counsel in securing and negotiating bond financing of $19,000,000 in exempt facility revenue bonds for the acquisition and installation of government subsidized equipment.
Healthcare - Represented hospitals and physicians in negotiation and drafting of professional services agreements, medical director agreements, affiliation agreements, and business associate agreements. Assisted in the review of physicians agreements for compliance with Stark, Fraud & Abuse, and HIPAA.
Franchising & Distribution - Served as the chief due diligence associate in the merger and formation of a franchisee purchasing cooperative to a nationally-recognized coffee and dessert brand.
Food & Beverage - Provided extensive analysis on behalf of national cosmetic retailer to determine compliance with federal and state anti-slack fill prohibitions. Counseled national food and beverage companies regarding enforcement trends of the National Advisory Division to determine accuracy and truthfulness in competitor advertising.
