Jewish Hospital & St. Mary’s HealthCare in Louisville entered into a historic consolidation with Saint Joseph Health System of Lexington and Flaget Healthcare to form KentuckyOne Health. KentuckyOne Health is a nonprofit charitable organization that includes hospitals, clinics, specialty institutes, home health agencies, satellite primary care centers and physician groups. By the numbers, the new formation will include over 80 locations, 2,500 staff physicians and more than 13,000 employees across the state of Kentucky and southern Indiana. Over a 12 month period, Frost Brown Todd attorneys worked with and on behalf of its client, Jewish Hospital & St. Mary’s HealthCare, to help create and implement this statewide health system.

Completed merger of three nonprofit, health care organizations in Cincinnati, OH. This project is significant as it includes the three main collaborative health care entities in the city and involved HealthBridge, a leader in the country for inter-provider health information technology systems.

Led the purchase of home health agency operating in three states. Conducted due diligence and regulatory review process for targets operating in Ohio and Connecticut.

Spearheaded strategic integration of large physician group with hospital in South Carolina. The integration was significant given the sensitivity to compliance concerns stemming from federal district court decision Toumey.

Completed the acquisition of OB/GYN clinic by Federal Qualified Health Center in Kentucky. The transaction was complicated given compliance concerns imposed upon federally qualified health centers.

Worked to secure favorable IRS exemption application seeking tax exemption for a hospital purchased from physicians in excess of $100,000,000.  This is significant given the physician ownership of the hospital, it's extremely high commercial payor population mix, and the difficulty that a hospital without an emergency room has in demonstrating significant community benefit.

General Counsel to support as lead contact for numerous health care providers including:
- 80 member anesthesiology group in Colorado
- Five hospital health system in Cincinnati, which employs over 550 physicians
- Large Federally Qualified Health Center in Kentucky

Led the appeal of provider exclusion and overpayment determination in excess of $700,000, which resulted in a settlement dismissing the exclusion charges and overpayment in full.
