Long Term Care Facilities
FBT’s healthcare lawyers regularly counsel clients concerning the acquisition or sale of long term care facilities. In addition to the issues that are involved in the acquisition or sale of any ongoing business, we work with our clients in these transactions to obtain for them the strongest position on items of particular significance to acquisitions involving long term care facilities. Such items include the seller's representations and warranties regarding compliance with the Federal Stark, Anti-Kickback and HIPAA statutes, state licensure and certificate of need requirements, and the billing of private and governmental payors and the seller's indemnification obligations in the event of a breach of those representations and warranties.
On an ongoing basis, we work with the executive teams of several large networks of long term care facilities to assure that those facilities remain in compliance with the complex maze of Federal and State laws and regulations affecting their day-to-day operations. We also work with the management teams of those systems to address their human resource needs, including benefit plan compliance and labor and employment related litigation.
